INDEPENDENT CONTRACTOR NON-COMPETE AGREEMENT

This Independent Contractor Non-Compete Agreement ("Agreement") is made effective as of today between Garcia Water Care of El Paso, LLC ("Company") dba "Garcia Water Care", with its principal place of business located at 10420 Montwood Dr, Suite N, El Paso, Texas 79935, and ("Contractor"), an independent contractor, residing at . The Company and Contractor may collectively be referred to as the "Parties."

RECITALS

WHEREAS, the Company specializes in the repair, maintenance, and authorized dealership of Puronics water softeners, reverse osmosis systems, and other water filtration equipment ("Services");

WHEREAS, the Contractor has agreed to provide services to the Company as an independent contractor, and in consideration of the mutual benefits derived from this Agreement, agrees to the restrictions as set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

  1. Non-Compete. The Contractor hereby agrees that during the term of this Agreement and for a period of 6 months following its termination or expiration, regardless of the cause for termination, the Contractor shall not within the city of El Paso, Texas, and its surrounding areas, directly or indirectly:

    a. Engage in, be employed by, consult with, or provide services to any business that directly competes with the Services offered by the Company;

    b. Solicit business from, or offer similar services to, any client or customer of the Company (or any potential client or customer of the Company) that the Contractor had contact with or became aware of as a result of the Contractor's relationship with the Company;

    c. Own, manage, operate, join, control, or participate in the ownership, management, operation, or control of any business that is in competition with the Company.

  2. Confidentiality. The Contractor acknowledges that during the term of this Agreement, the Contractor will have access to and become acquainted with various confidential information, including trade secrets, customer lists, and other valuable proprietary information belonging to the Company. The Contractor agrees to maintain the confidentiality of all such information and not to disclose it to anyone outside the Company, both during and after the term of this Agreement.

  3. Enforcement. The Contractor acknowledges that the restrictions contained in this Agreement are reasonable and necessary to protect the legitimate business interests of the Company and that any breach of these restrictions would cause substantial harm to the Company. The Company shall have the right to enforce this Agreement through injunctive relief or other equitable remedies, in addition to other legal remedies available to it.

  4. Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

  5. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
